"Agreement" refers to these Terms and Conditions, along with any service-specific agreements entered into between Lumivox and the User.
2. Acceptance of Terms

Organizations engaging our services through authorized representatives warrant that such representatives have the authority to bind the organization to these terms and any subsequent service agreements.
3. Service Description
Lumivox provides professional consulting services in artificial intelligence implementation, including but not limited to data pipeline architecture, predictive analytics model development, and workflow automation solutions. Our services are delivered through project-based engagements tailored to client requirements.
Service availability and delivery timelines are subject to resource capacity and mutual agreement through formal project scoping. We reserve the right to decline service requests that fall outside our areas of expertise or capacity constraints.
Specific service terms, deliverables, timelines, and pricing are established through individual project agreements that supplement these general Terms and Conditions. In case of conflict between general terms and project-specific agreements, the project agreement takes precedence.
4. User Responsibilities
Users accessing our website agree to use it lawfully and in accordance with these terms. Prohibited activities include attempting to gain unauthorized access to our systems, interfering with website functionality, distributing malware or harmful code, or using automated systems to extract content without permission.
Clients engaging our services are responsible for providing accurate information, timely feedback, reasonable access to necessary systems and data, and cooperation with project requirements as outlined in service agreements.
Users must maintain the confidentiality of any login credentials provided and immediately notify us of any unauthorized access to their accounts or potential security breaches.
5. Intellectual Property

6. Payment Terms
Service fees are established in project-specific agreements and are quoted in Thai Baht unless otherwise specified. Payment terms, milestones, and schedules are defined in individual service contracts.
Invoices are typically issued at project milestones or monthly intervals as agreed. Payment is due within 30 days of invoice date unless alternative terms are specified. Late payments may incur interest charges at the rate permitted by Thai law.
Clients are responsible for all applicable taxes, including value-added tax and withholding tax, unless otherwise agreed in writing.
7. Service-Specific Terms
7.1 Project Scope and Changes
Project scope is defined through mutual agreement during the engagement process. Changes to scope require written approval from both parties and may result in adjusted timelines and fees.
7.2 Deliverables and Acceptance
Deliverables are subject to acceptance procedures outlined in project agreements. Clients have a reasonable period to review deliverables and request modifications within the agreed scope. Deliverables are considered accepted if no written objection is received within the specified review period.
7.3 Performance and Warranties
We warrant that services will be performed with professional skill and care consistent with industry standards. However, AI systems involve probabilistic models and data-dependent performance. We cannot warrant specific accuracy levels, business outcomes, or results unless explicitly stated in project agreements.
8. Disclaimers
Our website and services are provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, we make no warranties regarding uninterrupted access, error-free operation, or the absence of viruses or harmful components.
AI models and predictive systems are tools that support decision-making but should not be the sole basis for critical business decisions. Clients retain responsibility for evaluating model outputs and determining appropriate use in their operational context.
Information on our website is for general informational purposes and does not constitute professional advice. Specific recommendations are provided only through formal consulting engagements.
9. Limitation of Liability
To the maximum extent permitted by Thai law, Lumivox's total liability arising from or related to services provided shall not exceed the fees paid by the client for the specific project or service giving rise to the claim.
We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
These limitations do not apply to damages resulting from gross negligence, willful misconduct, or violations of applicable law that cannot be contractually limited.
10. Indemnification
Clients agree to indemnify and hold Lumivox harmless from claims, damages, or expenses arising from their misuse of deliverables, violation of these terms, infringement of third-party rights, or provision of inaccurate information that materially affects service delivery.
11. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of engagement. Confidential information includes technical data, business strategies, client lists, and other non-public information marked as confidential or reasonably understood to be confidential.
Confidentiality obligations do not apply to information that is publicly available, independently developed, rightfully obtained from third parties, or required to be disclosed by law.
12. Termination
Either party may terminate a service engagement as specified in the project agreement. Generally, termination requires written notice and may be subject to payment for work completed through the termination date.
We reserve the right to suspend or terminate website access for users who violate these terms, engage in prohibited activities, or pose security threats to our systems.
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, pandemics, telecommunications failures, or other events meeting the legal definition of force majeure under Thai law.
14. Dispute Resolution
These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
Before initiating formal legal proceedings, parties agree to attempt good faith resolution through direct negotiation for a period of 30 days.
15. General Provisions
Entire Agreement: These terms, together with any referenced policies and project-specific agreements, constitute the entire agreement between parties regarding the subject matter and supersede all prior understandings or agreements.
Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment: Users may not assign their rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to any successor entity in the event of a merger, acquisition, or business transfer.
16. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes become effective when posted on this page with an updated "Last Updated" date. Continued use of our website or services following such changes constitutes acceptance of the modified terms. Material changes affecting existing service engagements will be communicated directly to affected clients.
